Terms and Conditions of Use and Trade for SpaColour Ltd Website
1. Introduction
1.1 These terms and conditions ("Terms") govern your use of the SpaColour Ltd website (referred to as "SpaColour," "we," "us," or "our") located at spacolour.com (the "Website") and all trading activities between you and SpaColour Ltd, unless otherwise agreed in writing. By using the Website or placing an order, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Website or engage in trade with us.
1.2 SpaColour Ltd is a company registered in England and Wales with company number 06327621 and registered office at Clarendon House, 42 Clarence St, Cheltenham, GL50 3PL. "Brandking" is a trading name of SpaColour Ltd.
1.3 We reserve the right to update and amend these Terms at any time. Changes will be reflected on the Website, and where appropriate, we will notify you of significant updates. It is your responsibility to review these Terms regularly. Continued use of the Website or engagement in trade with us following changes constitutes your acceptance of the revised Terms.
2. Privacy and Data Protection
2.1 SpaColour Ltd is committed to protecting your privacy in line with applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
2.2 Collection of Data
We may collect personal information when you register on our Website or make a purchase. This data may include your name, address, telephone number, email address, password, and payment details. Additional details, such as feedback on site performance, may also be collected to improve our service.
2.3 Use of Data
Your personal information may be used for the following purposes:

  • To process orders and communicate updates about them.

  • To inform you about promotions, products, or services we believe may interest you (if consent has been provided).

  • To maintain and improve the Website and enhance your shopping experience.

3. Intellectual Property
3.1 All content on the Website, including logos, trademarks, images, text, and designs, is owned by SpaColour Ltd and is protected by copyright and other intellectual property rights.
3.2 Users may not copy, modify, reproduce, distribute, or exploit the Website's content without prior written consent from SpaColour Ltd.
4. Orders
4.1 When placing an order, you must ensure all information provided (e.g., shipping address and contact details) is accurate and up-to-date.
4.2 You are responsible for maintaining the confidentiality of your username and password. If you suspect unauthorised access to your account, notify us immediately at admin@spacolour.com.
4.3 The product details and pricing listed on the Website are an invitation to treat and do not constitute a legally binding offer. Your order is an offer to purchase goods, which SpaColour Ltd may accept at our discretion.
4.4 Order cancellations for products already in production may incur charges, including artwork fees (£165 + VAT per hour) and material costs. Digital orders will only be provided in raw, non-editable formats upon cancellation and shall be protected under copyright so will not be allowed for re sale.
4.5 Bespoke orders cannot be cancelled after sign-off. Full payment is required once the order is confirmed.
4.6 Goods placed "on hold" for more than six weeks without further instruction will have their deposits forfeited unless otherwise agreed in writing.
5. Payment
5.1 We accept payments via BACS, debit/credit cards, and payment links.
5.2 Full payment is required prior to dispatch unless you have an active trade credit account. Credit customers must adhere to payment terms stated in section 5.7.
5.3 Large overseas orders (orders exceeding £4,000 net) require a 70% upfront payment, with the remainder due before final delivery.
5.4 New customers are required to prepay for their first five orders before being eligible for a trade credit application, subject to references.
5.5 All prices quoted are exclusive of VAT unless otherwise stated. VAT exemptions may apply for export orders or where a valid EU VAT number is provided.
5.6 Non-bespoke general samples are charged at £60 + VAT for any items not returned in good condition within 28 days.
5.7 Payment is due (if credit is given) net 14 days from the date of the Invoice.
6. Limitation of Liability
6.1 SpaColour Ltd is not liable for any indirect, incidental, or consequential losses (including loss of profits, data, or business opportunities) resulting from the use of this Website, to the extent permitted by law.
6.2 Nothing in these Terms limits our liability for personal injury or death caused by our negligence or any liabilities that cannot be excluded under UK law.
7. Indemnification
7.1 You agree to indemnify, defend, and hold harmless Spacolour Ltd, its directors, officers, employees, agents, contractors, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with your breach of these Terms or your use of the Website.
8. Governing Law and Jurisdiction
8.1 These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.
8.2 The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation (including non-contractual disputes or claims).
9. Severability
9.1 If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason by any court of competent jurisdiction, such provision shall be severed and the remainder of the provisions shall continue in full force and effect as if these Terms had been agreed with the invalid, illegal, or unenforceable provision eliminated. .
10. Entire Agreement
10.1 These Terms constitute the entire agreement between you and SpaColour Ltd regarding your use of the Website, superseding any prior communications or agreements.
